SmartCo.Cloud Pte Ltd shall not be liable for any loss or damage suffered by the facilitators, whether direct, indirect or consequential, arising from the engagement of the freelance facilitators by SmartCo.Cloud Pte Ltd.
The facilitators shall indemnify and hold harmless SmartCo.Cloud Pte Ltd from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or in connection with the engagement of the facilitators by SmartCo.Cloud Pte Ltd.
The facilitators shall not engage in any illegal, unethical or unprofessional conduct which may bring SmartCo.Cloud Pte Ltd into disrepute.
These terms and conditions shall be governed by and construed in accordance with the laws of Singapore and the parties submit to the non-exclusive jurisdiction of the courts of Singapore.
These terms and conditions constitute the entire agreement between the parties with respect to the engagement of the facilitators by SmartCo.Cloud Pte Ltd and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
Each party acknowledges that it has read these terms and conditions, understands them, and agrees to be bound by them.
These terms and conditions shall take effect from the date of engagement of the facilitators by SmartCo.Cloud Pte Ltd.
